These Terms of Service ("Terms") govern your access to and use of CollectNow ("we", "us", or "our") website, products, and services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Eligibility

You may use the Service only if you are at least 18 years old and have the legal capacity to enter into a binding agreement. By using the Service, you represent and warrant that you meet these requirements.

2. Your Account

To use certain features, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us promptly of any unauthorised use of your account or any other security breach.

3. Service Description

CollectNow provides tools to generate PayNow QR codes and payment requests based on information you provide. We do not hold or transfer funds, and we are not a bank, payment institution, or remittance service. All payments are processed by your bank or payment provider in accordance with their terms.

4. Your Responsibilities

You agree that you will:

• Use the Service only for lawful purposes and in accordance with applicable laws and regulations.
• Ensure that all payment details and PayNow information you provide are accurate and belong to you or you are authorised to use them.
• Obtain any necessary consents from your customers or payers to share their information with us and your bank.
• Not use the Service for fraudulent, misleading, or abusive purposes.

5. Prohibited Use

You agree not to:

• Use the Service to violate any law, regulation, or third-party rights.
• Engage in any activity that may harm, interfere with, or disrupt the Service or its infrastructure.
• Attempt to gain unauthorised access to the Service, accounts, or systems.
• Reverse engineer, decompile, or otherwise attempt to extract the source code of the Service, except as permitted by law.

6. Fees

CollectNow may offer free and/or paid features. If we introduce paid features or fees in the future, we will provide you with clear information about applicable charges and any changes to pricing. You are responsible for all fees charged by your bank or payment provider.

7. Intellectual Property

The Service, including all software, design, text, graphics, and other content, is owned by us or our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service solely for your internal business or personal use in accordance with these Terms.

8. User Content

You retain ownership of any content and data you submit to the Service ("User Content"). By using the Service, you grant us a non-exclusive, worldwide, royalty-free licence to use, host, store, reproduce, and display your User Content solely as necessary to operate and improve the Service.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

10. Third-Party Services

The Service may interact with or depend on third-party services (such as banks and payment providers). We are not responsible for the content, terms, or performance of any third-party services, and your use of them is governed by their own terms and policies.

11. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including any warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

12. Limitation of Liability

To the fullest extent permitted by law, in no event will we be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claims arising out of or related to the Service or these Terms will be limited to the greater of (a) the amount you paid us for the Service in the 3 months preceding the event giving rise to the claim, or (b) SGD 100.

13. Indemnity

You agree to indemnify and hold harmless CollectNow, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of the Service or your violation of these Terms.

14. Suspension and Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe that you have violated these Terms, are using the Service in a way that may cause harm, or as required by law. You may stop using the Service at any time.

15. Changes to the Service and These Terms

We may modify the Service and these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and may provide additional notice as required by law. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.

16. Governing Law

These Terms and any dispute arising out of or relating to them or the Service will be governed by and construed in accordance with the laws of Singapore, without regard to conflict-of-law principles.
